BLV Securities is a registered broker-dealer with the Financial Industry Regulatory Authority (FINRA) and is a member of the Securities Investor Protection Corporation (SIPC). We specialize exclusively in private placements and do not offer other types of securities or brokerage services. What Investment Services and Advice Can You Provide Me?

BLV Securities provides private placement services to retail customers. Our platform is limited to private placements, which are investments offered to a select group of investors rather than the general public. These services include:

 

Acting as a Placement Agent: We help raise capital for private companies by finding investors who are willing to invest in these companies. We do this on a best-efforts basis, meaning we do not guarantee the total capital amount requested by the issuer.

 

Referral Services: We introduce potential investors to issuers of private placements. In this capacity, we do not manage the investment process but facilitate connections between issuers and interested investors.

 

Example: If a startup company is seeking $5 million in capital and engages us as a placement agent, we will make reasonable efforts to raise the $5 million but do not commit to raising the full amount. If we are simply referring investors, we will connect interested parties directly with the startup.

 

We do not offer ongoing monitoring of investments and do not have a fiduciary duty to you. You should be proactive in monitoring your own investments.

What Fees Will I Pay?

For private placements, you will incur various fees, which may include:

 

Commissions and Sales Concessions: These are fees paid at the time of investment and can vary depending on the offering. For example, a private placement might charge a 3% commission on the amount invested.

 

Management Fees: Fees paid to manage the private placement, typically calculated as a percentage of the invested capital.

 

Organizational and Operating Expenses: These include costs related to the setup and ongoing administration of the private placement, which may be reimbursed to the issuer.

 

Profit Participation/Carried Interest Fees: In some cases, a portion of the profits earned from the investment may be shared with the placement agent.

 

Example: If you invest $100,000 in a private placement with a 2% commission and 1% management fee, you would pay $2,000 in commission and $1,000 in management fees, leaving $97,000 invested.

 

The more transactions you conduct, the more fees we and our representatives may earn. This creates an incentive for us to encourage additional investments.

How Do You and Your Financial Professionals Make Money?

Our registered representatives earn a portion of the commissions and transaction fees you pay. For instance, if a private placement has a 4% commission, our representatives may receive 1% of that as their compensation. Additionally, our representatives may receive bonuses based on the overall profitability of BLV Securities.

 

Example: If a representative earns a commission of $2,000 from a $50,000 investment, they might receive $500 as their share, with the remainder going to the firm
